1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Vocito.ai B.V. ("Vocito", "we", "us", or "our"), a company registered under the laws of the Netherlands.

By creating an account, accessing, or using the Vocito platform and related services (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Data Processing Agreement.

If you are entering into these Terms on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you must not use the Service.

2. Beta Program

The Service is currently offered as a Beta Program. By using Vocito during the Beta period, you acknowledge and agree to the following additional terms, which prevail over conflicting provisions elsewhere in these Terms:

2.1 Service Level During Beta

Beta customers receive Scale-tier feature access regardless of plan selection, including unlimited agents, all integrations, priority routing, and advanced analytics. We reserve the right to add, modify, deprecate, or remove features at any time without prior notice during the Beta period.

2.2 Service Credits & Pricing

Beta users may receive promotional wallet credits (e.g. €20 starter credit). Beta credits expire 28 days after activation if unused. List prices on the marketing site are non-binding during Beta; final Beta-period pricing is set in the dashboard at upgrade time.

2.3 Availability & Reliability

During Beta, Vocito does not guarantee the uptime SLAs described in Section 14. The Service may experience interruptions, data resets, or feature regressions. We aim for 99% best-effort availability but provide no service credits for downtime during Beta.

2.4 Data Retention During Beta

Beta call recordings, transcripts, and conversation analytics are retained for 90 days by default. You may export your data at any time. We may anonymize aggregated Beta usage data to improve the Service (no personally identifiable information is shared with third parties).

2.5 Feedback & Confidentiality

You agree to provide reasonable feedback about your Beta experience. Bug reports and feature requests submitted through the in-app reporter become non-confidential and may be used by Vocito to improve the Service. We will never attribute your feedback publicly without consent.

2.6 Beta Termination

Vocito may end the Beta program at any time with 14 days notice. Upon Beta termination, your account converts to the General Availability ("GA") version. Prepaid wallet credits remain valid; promotional Beta credits convert per the schedule communicated at the time of GA launch.

3. Definitions

3. Account Registration and Security

3.1 Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. The Service is designed for business use by small and medium-sized businesses ("SMBs") and is not intended for consumer or personal use.

3.2 Account Information

You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

3.3 Account Security

You must immediately notify Vocito of any unauthorized use of your account or any other security breach. Vocito will not be liable for any loss arising from unauthorized use of your account where you have failed to maintain adequate security of your credentials.

3.4 One Account Per Entity

Each legal entity or individual may maintain only one account unless expressly authorized by Vocito in writing. Multi-location or franchise businesses may request multiple sub-accounts under an Enterprise arrangement.

The Vocito Service uses artificial intelligence and machine learning technologies to power its voice receptionist. In accordance with Article 50 of the EU AI Act (Regulation (EU) 2024/1689), we disclose the following:

Current pricing and plan details are available at vocito.ai. Prices are listed in Euros (€) and are exclusive of applicable taxes (including VAT) unless otherwise stated.

6.2 Billing Cycle

Subscriptions are billed monthly or annually in advance, depending on the plan selected. The billing cycle begins on the date of subscription activation.

6.3 Payment

Payment is processed through our payment provider. You authorize Vocito to charge your designated payment method for all fees incurred under your Subscription Plan. All payments are non-refundable except as expressly provided in these Terms or required by applicable law.

6.4 Overages

If your usage exceeds the limits of your Subscription Plan (e.g., call minutes, SMS messages), additional charges may apply as specified in your plan details. You will be notified before overage charges are applied.

6.5 Price Changes

Vocito may adjust pricing with at least 30 days' written notice before the start of a new billing cycle. Continued use of the Service after a price change constitutes acceptance of the new pricing. If you do not agree to the new pricing, you may cancel your subscription before the new billing cycle begins.

6.6 Taxes

The Customer is responsible for all taxes, duties, and levies imposed by applicable governmental authorities, excluding taxes based on Vocito's net income. If Vocito is required to collect or remit taxes, such taxes will be added to the invoice.

6.7 Free Trials

Vocito may offer free trial periods at its discretion. At the end of a trial period, your account will be converted to a paid subscription unless you cancel before the trial ends. Vocito reserves the right to limit or modify trial offers at any time.

7. Acceptable Use

7.1 Permitted Use

You may use the Service only for lawful business purposes in accordance with these Terms.

Vocito reserves the right to investigate and take appropriate action against any violation of this section, including suspending or terminating your account, reporting violations to law enforcement, and pursuing legal remedies.

8. Data Processing and Privacy

Our collection, use, and protection of personal data is governed by our Privacy Policy. Where the Customer acts as a data controller and Vocito processes personal data on the Customer's behalf, the Data Processing Agreement applies.

The Customer is responsible for ensuring that it has a lawful basis for collecting and processing the personal data of its End Users through the Service, including obtaining any required consents for call recording and data processing.

9. Call Recording and Consent

9.1 Recording Disclosure

The Service records and transcribes all calls handled by the AI Agent. A disclosure message is played at the beginning of each call informing the caller that the call may be recorded and transcribed.

The Customer is responsible for:

Vocito provides the technical infrastructure for call recording and transcription. Vocito does not determine the purposes or legal basis for recording and acts as a data processor in this regard. The Customer, as the data controller, bears full responsibility for compliance with recording consent requirements.

10. Intellectual Property

10.1 Vocito's IP

The Service, including all software, algorithms, models, interfaces, designs, documentation, trademarks, and other intellectual property, is and remains the exclusive property of Vocito.ai B.V. and its licensors. These Terms do not grant you any ownership rights in the Service.

10.2 License to Use

Subject to these Terms, Vocito grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service during the term of your subscription for your internal business purposes.

10.3 Customer Data Ownership

The Customer retains all rights, title, and interest in Customer Data. By using the Service, the Customer grants Vocito a limited license to process Customer Data solely for the purpose of providing and improving the Service in accordance with the Privacy Policy and Data Processing Agreement.

10.4 Feedback

If you provide Vocito with feedback, suggestions, or ideas regarding the Service, you grant Vocito a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such feedback into the Service without restriction or obligation to you.

10.5 Aggregate and Anonymized Data

Vocito may use aggregated, anonymized, and de-identified data derived from your use of the Service for analytics, benchmarking, product improvement, and research purposes. Such data will not identify you or any individual End User.

11. Warranties and Disclaimers

EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." VOCITO DISCLAIMS ALL OTHER WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Without limiting the foregoing, Vocito does not warrant that:

12.1 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

12.2 Cap on Liability

VOCITO'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS SHALL NOT EXCEED THE TOTAL FEES PAID BY THE CUSTOMER TO VOCITO DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Vocito will defend, indemnify, and hold harmless the Customer from and against any third-party claims arising from Vocito's infringement of third-party intellectual property rights through the Service, provided the Customer promptly notifies Vocito and grants Vocito control of the defense.

The Customer will defend, indemnify, and hold harmless Vocito from and against any third-party claims arising from:

14. Service Level Agreement

14.1 Uptime Commitment

Vocito commits to a monthly platform uptime of 99.5% for Professional and Business plans, and 99.9% for Enterprise plans, measured over each calendar month, excluding scheduled maintenance.

14.2 Scheduled Maintenance

Vocito will provide at least 48 hours' notice for scheduled maintenance windows. Scheduled maintenance will be performed during off-peak hours (typically 02:00–06:00 CET) when possible.

14.3 Service Credits

If Vocito fails to meet the uptime commitment, eligible Customers may request service credits as follows:

Service credits must be requested within 30 days of the end of the affected month. Credits are applied to future invoices and are not redeemable for cash. Service credits are the Customer's sole and exclusive remedy for Vocito's failure to meet the uptime commitment.

The uptime commitment does not apply to downtime caused by:

You may cancel your subscription at any time through the dashboard or by contacting support at support@vocito.ai. Cancellation takes effect at the end of the current billing cycle. No refunds are provided for partial billing periods unless required by applicable law.

The following sections survive termination: Definitions, Intellectual Property, Warranties and Disclaimers, Limitation of Liability, Indemnification, Governing Law and Dispute Resolution, and any provisions that by their nature are intended to survive.

16. Changes to Terms

Vocito reserves the right to modify these Terms at any time. We will notify you of material changes by email and/or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes acceptance of the changes.

If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription before the changes take effect.

17. Governing Law and Dispute Resolution

17.1 Governing Law

These Terms are governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of laws principles. The applicability of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded.

17.2 Dispute Resolution

The parties will first attempt to resolve any dispute arising out of or in connection with these Terms through good-faith negotiation for a period of 30 days. If the dispute is not resolved through negotiation, it shall be submitted to the exclusive jurisdiction of the competent courts in Amsterdam, the Netherlands.

17.3 EU Consumer Rights

Nothing in these Terms affects the statutory rights of consumers under mandatory consumer protection laws of the EU Member State in which they are habitually resident. If you are a consumer in the EU, you may also bring proceedings in the courts of your place of residence.

18. General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy, Data Processing Agreement, and any Order Forms or Subscription Agreements, constitute the entire agreement between the parties with respect to the subject matter hereof.

18.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.

18.3 Waiver

No waiver of any provision of these Terms shall be effective unless made in writing. A party's failure to enforce any right or provision shall not constitute a waiver of that right or provision.

18.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without Vocito's prior written consent. Vocito may assign these Terms in connection with a merger, acquisition, reorganization, or sale of substantially all of its assets.

18.5 Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations due to causes beyond its reasonable control, including but not limited to natural disasters, pandemics, war, terrorism, government actions, power outages, internet disruptions, or failures of third-party infrastructure or telecommunications providers.

18.6 Notices

All notices under these Terms shall be in writing and sent to the email address associated with your account or, for notices to Vocito, to legal@vocito.ai. Notices are deemed received on the day of transmission if sent by email.

18.7 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights, except as expressly provided herein.

18.8 Language

These Terms are drafted in English. In the event of a conflict between the English version and any translation, the English version shall prevail.
